There are three main types of partnerships : general, limited, and limited liability. Each type impacts your management structure, investment opportunities, liability implications, and taxation.

Any arrangement between individuals, friends, or families to form a business for profit creates a partnership. As there is no formal registration process, a written business partnership agreement intends to form a partnership.

Investors, lenders, and professionals often ask for an agreement before allowing the partners to receive investment money, secure financing, or obtain proper legal and tax help. Can you change a Partnership Agreement? Yes, you can change, add or remove terms from a Partnership Agreement using a Partnership Amendment.

Reasons to change an agreement include situations such as additional investments or a requirement for more or new specific provisions to govern the partnership.

a Provide the complete legal name of the partnership entity. It should be the name you have registered with your appropriate state department. If you have not formally created your legal entity, check with your state to ensure that the name you are using is available and check to be sure that you are not infringing on any existing trademarks.

b Describe the purpose of your business and list the types of business activities you will be engaged in. c This is the address where the business will operate and conduct business.

This should be a physical address, not a PO Box. If you have registered your business with your state, you should provide the address you used in that filing here.

You can use a personal address if you are a completely virtual business without a physical business address. d Provide the date that the partnership will become effective.

This can be done immediately upon signing this document or later. If you have a specific date for the partnership to end, you will list it here. Otherwise, you will choose the preceding option, and the partnership will terminate upon the happening of events and as prescribed in the partnership agreement.

a If partners are required to make capital contributions to the partnership, you must state when those contributions should be made here.

You can choose when contributions should be received for example, within 30, 60, or 90 days of the effective date of this agreement or on or before a set date. b Contributions are how much and what each partner will invest.

They can be in the form of cash, property services, or expertise. You will list the number of contributions and describe the contributions here. a Capital accounts can pay out interest.

c Each partner will have a separate income account. You can choose whether interest will or will not be paid to any, all, or no partners here.

a Partners can receive a salary for their labor and services. The IRS considers a partner to be an employee only if the partner provides services other than their capacity as a partner, which could affect how both the partnership and the partner are taxed.

c Choose how partners can withdraw their profits from their income account here, either withdraw anytime, with written consent from all other partners, or at the end of a set period monthly, quarterly, or yearly.

d Provide the name of the financial institution where partnership funds will be held and list who can withdraw and sign on behalf of the partnership on this account. It can be all partners, anyone partner, a majority of partners, or another arrangement you have decided upon. a This is the physical address where books and records will be stored.

b Choose who can inspect the books and records, any partner and their representative, or any partner. Most businesses will follow a calendar year, but you can choose any date for the beginning and end of your fiscal year.

a There are several ways a partner can leave the partnership. Or you can enable them to go only with the unanimous consent of the other partners. Once a partner leaves, you can have the partnership automatically terminated, allow the other partners to purchase the interests, or give them the option to choose between both.

a A partner may choose to retire from the business before the end of the partnership. You can allow a partner to withdraw or require retirement at a specific time. b Your Partnership Agreement can specify that no new partners will be admitted to the partnership at any time or that new partners will be admitted to the partnership upon the agreement of the current partners.

c All parties agree to resolve disputes over the agreement by arbitration. Arbitration is when an arbitrator, a neutral third party selected by the parties, evaluates the dispute and determines a settlement. The decision is final and binding.

As an example, some Partnership Agreements base ownership on the amount of investment into the business. If each partner contributed half of the capital, they would take half of the ownership. Others will divide interest based on the anticipated contribution to the partnership.

Ownership and authority often go hand in hand—partners with more ownership interest will often have more authority, but not always. Partners could also choose to give everyone an equal vote regardless of ownership percentage.

Partners can be creative and craft an interest and authority scheme that works for them. The costs section simply sets out who will be responsible for the costs.

In most cases, partners will share in the costs equally or based on the amount of ownership they have. Again, partners can craft a cost-sharing scheme that works for their unique situation.

The profits section will describe how profits from the business venture will be divided. These can be equally divided, divided up based on ownership percentages, or divided by any other scheme that the partnership decides.

This section should also set out how profits are paid, including when payments should be made and who makes those payments. Not every Partnership Agreement will include a separate salary for partners.

However, if one or more partners want a set salary, the partnership can include a section about this issue as part of their agreement. In many situations, if a partnership is just starting, this section will simply state that salaries can be developed in the future.

It will also describe how future salaries must be approved such as by a voting percentage. Then, once the business gets going, the partners revisit this section to set specific salary amounts that will be sustainable for the company. If the partnership already has a good idea of what kind of profits will be available, they can immediately set a salary and include it in their Partnership Agreement.

However, if the partnership takes this type of step, they might also want to include language about what will happen if the business venture cannot pay a specific salary or how industry downturns will be addressed. Many Partnership Agreements specifically set out how partners will contribute to the venture.

Having this type of discussion and agreement at the outset can address a lot of areas of potential concern in the future, especially when it comes to sharing workloads to make the business thrive. As an example, the partnership can agree that each partner will work a specific number of hours per week or per month.

They might set out specific working hours like 9 am to 5 pm or provide a certain number of vacation days. This section might also address emergency situations, such as when a partner cannot work because of a severe illness or accident.

Like many of the other sections, establishing partner roles is flexible. In most situations, the partners can develop a schedule and rules that work for them individually and as part of their specific industry or type of business.

Of course, partners can often leave out this section entirely if they want to do that as well. The accounting section sets out how the partnership will keep its books and records.
